Services and Support

The Services consist of the enhanced 911 services described herein, including 9Line hosted software-as-a-service offering and software listed on your Order Confirmation.

1.1 Services – The Software can be used to find the location of the caller when a 911 call is placed from an enterprise call server, PBX, or hosted cloud solution. The Software sends that call to the appropriate Public Safety Answering Point (PSAP) depending on PSAP limitations, or to a designated security answering point, and notifies you that a 911 call has taken place. The Services may also consist of Software add-ons such as features that provide end point automated location tracking and 911 notifications. 9Line provides the Services, but certain components may be delivered by third-party vendors engaged by 9Line.

1.2 Updates to Services – 9Line continues to improve its Services and may enhance or otherwise update the Services provided. You will be notified in advance of any changes which could materially reduce the functionality of any aspect of the Services prior to implementation. 9Line also will perform scheduled maintenance from time to time. 9Line reserves the right to refuse providing or modifying any features if such provisioning or modification adversely affects the Services.

1.3 Support – 9Line provides technical support based on your licensed package and any add-on Services listed in your Order Confirmation. You may contact 9Line via telephone, email, web-based service, or other designated communications channel regarding difficulties in use of the Services or the interpretation of results. You may need to provide 9Line with remote access to your computer systems for certain off-site technical support.

1.4 Uptime – 9Line will use commercially reasonable efforts to make the Cloud Services available at least 99.999% of each calendar month, measured 24/7, except for: (i) scheduled maintenance with at least three days advance notice, (ii) unscheduled maintenance with reasonable advance notice, (iii) emergency maintenance without prior notice (notification within 24 hours afterwards), (iv) any Force Majeure Event, or (v) downtime due to your acts or omissions or failure to comply with these T&Cs.

1.5 Free Trial Access – If you access or use any portion of the Services on a free trial or evaluation basis, such use is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. 9Line disclaims all liability for any loss, damage, data corruption, loss of access, interruption, or other adverse effects incurred during the Free Trial period. 9Line shall have no indemnity, support, service level, or other obligations during any Free Trial.

Payments

2.1 Licensing Fees – You are responsible for payment of the fees described in your Order Confirmation or separate agreement with a 9Line authorized distributor. Fees may increase each Renewal Term. Fees do not include any taxes, excluding taxes based upon 9Line’s net income. All Fees are non-refundable and non-cancellable, except as otherwise expressly provided. If your account is overdue, 9Line may suspend your use of the Services until you have paid the full balance owed, plus interest at the rate of 18% per annum.

2.2 ECC Expenses – Failed User Emergency 911 Calls will be routed to an emergency call center (National ECC). 9Line will not charge you for the first National ECC call, but you will be responsible for all expenses associated with subsequent calls, including $25.00 for each subsequent call during the Term. 9Line will notify you of any National ECC calls within two business days and invoice you monthly.

2.3 Service Increases – If your Service usage exceeds your License Basis, your License Basis will be increased and you will be billed incremental Fees for additional licenses for the remainder of the Term. Your License Basis can only be increased during the Term. Upon each renewal term, subscription fees may be subject to an increase not to exceed 10% of the total contract value, unless otherwise agreed in writing.

Term and Termination

3.1 Term – The Initial Term shall commence on the Effective Date listed in your Order Confirmation and continue for the period set forth therein. Your Services will automatically extend for an additional twelve (12) month period (each, a Renewal Term), unless either Party sends notice of non-renewal at least thirty (30) days prior to the expiration of the Term.

3.2 Termination – The Parties may terminate any applicable Order Confirmation: (i) for cause if a Party materially breaches these T&Cs and does not cure that breach within thirty (30) days after written notice; or (ii) upon the dissolution or liquidation of the other Party, or if the other Party becomes insolvent. 9Line may immediately suspend or terminate your use of the Services if you breach Section 2 (Payments), Section 4 (Use of the Services), or Section 5 (Intellectual Property).

3.3 Effect of Termination – Upon termination or expiration, you must cease any further use of the Services and destroy any copies of Software within your control. If termination is due to material breach by 9Line or due to 9Line’s winding down of the Services, 9Line will refund any prepaid fees covering the remainder of the then-current Term. Sections 3–9 shall survive the expiration or termination.

Use of the Services

You will use the Services only for the purposes of establishing locations for routing your 911 emergency calls and for no other purpose.

4.1 Acceptable Use – You will not (i) interfere with the Services, other customers’ access, or the security of the Services; (ii) sell, resell, or distribute the Services; (iii) make the Services available to third parties as a managed or network provisioned service; or (iv) attack or disrupt the Services, including denial of service (DoS), unauthorized access, monitoring or crawling, or distribution of malware. Use for any other purpose will constitute a material breach and grounds for termination.

4.2 Authorized Users – You are responsible for any individual you authorize to access or use the Services including employees, agents, and visitors. You are responsible for informing Authorized Users of applicable policies and procedures, including the instruction not to block their telephone numbers when calling 911.

4.3 Data Privacy – The Services only store Direct Inward Dial (DID) telephone numbers used for 911 call routing purposes and their associated building addresses and locations. You are responsible for configuring your phone system to restrict the delivery of Caller-ID Name (CNAM) to the Services. 9Line may use collected data for delivering services, maintaining system integrity, improving product performance, and developing future capabilities including AI and machine learning models.

4.4 Location Data – You expressly acknowledge that it is solely your responsibility to enter correct, complete, and current location data into the Services and to promptly update the same as needed. Failure to maintain current and correct User Location Data may result in emergency calls being routed to the incorrect emergency service provider.

4.5 Service Limitation Acknowledgement – You acknowledge that you may not be able to place 911 calls or User Location Data may be incorrect during: power disruptions, internet connectivity disruptions, VoIP service suspensions, Force Majeure Events, calls from non-registered locations, incorrect address information, equipment failures, territories without enhanced 911 systems, or if your right to use the Services has been suspended or terminated.

4.6 Cooperation – Delivery of the Services is conditioned on you fulfilling cooperation obligations including timely providing information, responding promptly to requests, and assigning one individual with telephone system expertise as the Administrator for the Term. You authorize 9Line to publicly disclose that you are a customer of 9Line.

4.7 Suspension – 9Line may temporarily suspend your use of the Services without prior notice if your acts or omissions threaten the integrity or security of the 9Line system used to provide the Services.

In no event shall either Party be liable for an aggregate amount in excess of the Fee paid or owed during the prior 12 months.

The limitations of liability in this Section shall not apply to willful misconduct, breaches of confidentiality obligations, infringement or misappropriation of intellectual property rights, or indemnification obligations.

Warranties and Disclaimers

8.1 General Limited Warranties – Each Party represents and warrants that (i) it has the authority to agree to these T&Cs, (ii) by agreeing it is not in violation of any other agreement, and (iii) that these T&Cs are enforceable and binding.
